1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Sydon Platform, including our website, software, APIs, and related services (collectively, the "Service") provided by 5R Commerce Solutions LLC ("Sydon," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

We operate as an SP-API Public Developer (not Service Provider) building applications for multiple Amazon sellers. Our application is subject to Amazon's public developer requirements and will be listed in the Amazon Selling Partner Appstore upon approval.

2. Description of Service

2.1 The Sydon Platform

The Sydon Platform is an AI-powered Amazon seller management solution that provides:

• Business intelligence and analytics for Amazon sellers
• Inventory management and demand forecasting
• Account health monitoring and compliance assistance
• Pricing intelligence and optimization
• Financial analytics and profit tracking
• AI-powered listing optimization
• Natural language business intelligence queries

2.3 Amazon SP-API Integration

• Our platform is built using official Amazon SP-API integrations
• We maintain our authorized developer status with Amazon
• All data access complies with Amazon's Data Protection Policy
• We implement Restricted Data Tokens (RDT) for secure PII access

3. Account Registration and Security

3.1 Account Requirements

• You must be at least 18 years old and legally capable of entering into contracts
• You must provide accurate, current, and complete information during registration
• You must maintain and update your account information
• You are responsible for maintaining the confidentiality of your account credentials

3.2 Account Security

• You are solely responsible for all activities under your account
• You must notify us immediately of any unauthorized access or security breaches
• We reserve the right to suspend or terminate accounts for security reasons

3.3 Amazon Integration

• You must have a valid Amazon Seller Central account
• You must authorize our application to access your Amazon data through official Amazon APIs
• You can revoke this authorization at any time through Amazon Seller Central

4. Subscription Plans and Payment

4.1 Subscription Tiers

We offer multiple subscription plans with different features and limitations:

• Business Guardian Plan: Basic analytics and automation features
• Amazon Command Center Plan: Advanced AI insights and forecasting
• Enterprise Plan: Custom integrations and dedicated support

4.2 Payment Terms

• Subscription fees are billed monthly or annually in advance
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method for all applicable fees
• Price changes will be communicated 30 days in advance
• Payment processing is handled by Stripe and PayPal per their respective terms

4.3 Free Trial

• We may offer free trials for new users at our discretion
• Free trial access may be limited in features or duration
• No payment method required for free trial access
• Free trials automatically convert to paid subscriptions unless canceled before trial expiration
• Trial limitations may include restricted data history, limited API calls, or reduced feature access

4.4 Cancellation

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• You retain access to the Service until the end of the paid period

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service to:

• Manage and optimize your Amazon seller business
• Access insights and analytics about your products and performance
• Generate reports and business intelligence
• Automate routine business processes

5.2 Prohibited Activities

You may not:

• Use the Service for any unlawful purpose or illegal activity
• Violate any Amazon policies or terms of service
• Share your account access with unauthorized users
• Attempt to reverse engineer, decompile, or hack the Service
• Use the Service to spam, harass, or harm others
• Interfere with the Service's security features
• Access data belonging to other users
• Use automated systems to access the Service without authorization
• Use the Service to violate Amazon's Acceptable Use Policy
• Access or attempt to access other sellers' Amazon data
• Share Amazon API credentials or unauthorized data access
• Use Amazon data for purposes outside authorized SP-API use cases

5.3 Amazon Compliance

You agree to:

• Comply with all Amazon Seller Central policies and guidelines
• Maintain good standing with Amazon
• Not use our Service to violate Amazon's terms of service
• Take responsibility for your Amazon seller account performance

6. Intellectual Property Rights

6.1 Our Rights

The Sydon Platform, including software, algorithms, and content, is owned by 5R Commerce Solutions LLC. We retain all rights, title, and interest in our intellectual property including:

• Proprietary AI algorithms and machine learning models
• Data processing methods and analytics frameworks
• Platform architecture and user interface design
• Sydon brand, trademarks, and service marks
• Documentation, guides, and educational content

These Terms grant you a limited, non-exclusive, non-transferable license to use the Service.

6.2 Amazon Data Processor Agreement

• Open source licenses do not affect our proprietary technology rights

6.5 Feedback and Suggestions

Any feedback, suggestions, or improvements you provide may be used by us without restriction or compensation.

7. Data Use and Privacy

7.1 Data Collection

We collect and use your data as described in our Privacy Policy, including:

• Your Amazon seller data for analytics and insights
• Usage data to improve the Service
• Account information for service provision

7.2 Data Security

We implement industry-standard security measures to protect your data:

• Encryption in transit and at rest
• Access controls and authentication
• Regular security audits and monitoring

7.3 Amazon Data

We access your Amazon data only through official Amazon APIs and implement enhanced security measures including:

• 30-day maximum retention for Amazon customer PII
• 24-hour incident notification to Amazon for security events
• Restricted access controls for Amazon data
• We do not share your Amazon data with third parties
• Full compliance with Amazon's Data Protection Policy requirements

Data minimization commitment: We access only the minimum Amazon data fields necessary for each specific feature or service provided to you. Unused data fields are not accessed even when technically available through SP-API.

7.4 AI Data Processing

• We use AI algorithms including local (Ollama) and cloud (Claude, GPT) models to analyze your business data and provide insights
• Amazon PII is processed locally when possible for enhanced privacy
• Only aggregated, anonymized metrics are used for cloud AI processing
• All AI processing complies with Amazon's Data Protection Policy
• AI insights are recommendations only, not automated decisions
• You retain full control over business decisions based on AI recommendations

8. Service Limitations and Disclaimers

8.1 Service Limitations

• The Service depends on Amazon's APIs and third-party data sources
• We cannot guarantee the accuracy of all data or predictions
• AI-generated insights are recommendations, not guarantees
• Service availability may be affected by external factors

8.2 Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.3 Amazon Relationship

We are an independent third-party developer and are not affiliated with, endorsed by, or sponsored by Amazon.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• WE ARE NOT LIABLE FOR LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION
• SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU

10. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Amazon seller account activities

11. Termination

11.1 Termination by You

• You may terminate your account at any time
• Termination does not relieve your obligation to pay accrued fees
• You may export your data in CSV or JSON format within 30 days after termination
• Data export requests must be submitted through your account dashboard or support ticket

11.2 Termination by Us

We may terminate your access if:

• You violate these Terms or our policies
• Your Amazon seller account is suspended or terminated
• We discontinue the Service (with 30 days' notice)
• You fail to pay fees when due

11.3 Effect of Termination

Upon termination:

• Your access to the Service ends immediately
• Amazon customer PII is deleted within 30 days per Amazon requirements
• Other account data is retained in accordance with our Privacy Policy retention schedule
• You may request immediate data deletion
• Provisions regarding liability, indemnification, and disputes survive

12. Third-Party Services

The Service may integrate with third-party services:

• Amazon SP-API: Subject to Amazon's terms and policies
• Payment processors: Subject to their respective terms
• Data providers: For market intelligence and analytics

We are not responsible for third-party services or their terms.

13. Changes to Terms

We may modify these Terms at any time:

• Changes will be posted on our website with an updated date
• Material changes will be communicated via email
• Continued use constitutes acceptance of changes
• You may terminate your subscription/use of the Service if you disagree with changes

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of Georgia without regard to conflict of law principles.

14.2 Arbitration

Any disputes will be resolved through binding arbitration under the rules of the American Arbitration Association, except:

• Small claims court disputes
• Injunctive relief requests
• Intellectual property disputes

14.3 Class Action Waiver

You waive the right to participate in class action lawsuits or class-wide arbitration against us.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.

15.2 Severability

If any provision is found unenforceable, the remaining provisions will remain in effect.

15.3 Assignment

We may assign these Terms or our rights hereunder. You may not assign your rights without our consent.

15.4 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

15.5 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.
